| Resumen : | The anonymous company regime in Ecuador is an efficient way to manage resources as a solution to economic problems in the legal personality of the football sports association. The objective of this research was to determine the need to convert Football Sports Associations into Public Limited Companies or Public Limited Companies, in order to protect the interests of members and fans, regarding the efficient management of the resources belonging to the sports club. Material and methods: To achieve this goal, scientific research was carried out using the inductive-deductive method, with a type of descriptive field research and with a qualitative scope, managing to contact at least one representative of each of the first teams and second category, in the professional league of Ecuador, which are registered in the Ecuadorian Football Federation (FEF) and in the South American Football Confederation with a total of 41 teams registered in first division and second division. A study census was carried out through a questionnaire containing eight closed questions with a Likert scale, reaching the conclusions: The Football Sports Associations in Ecuador, also called professional football clubs, are created to through ministerial agreement and regulated directly by the Ministry of Sports, which in turn depend on the Presidency of the Republic. The non-profit nature of the current sports associations, hinder their management control, also requires more transparent processes in their accountability and administration. The most viable legal figure for a football club is the public limited company or commercial corporation, therefore, the President of the Republic could, through a decree, order that all non-profit sports associations be liquidated before the Secretariat of Sport and then, re-founded with the legal figure of Corporations or Corporations in accordance with the Law of Companies and before the Superintendence of Companies. |
| Descripción : | El régimen de compañía anónima en Ecuador, se constituye en una forma eficiente de manejar recursos como una solución ante problemas económicos en la personalidad jurídica de la asociación deportiva de fútbol. La presente investigación tuvo como objetivo: determinar la necesidad de convertir a las Asociaciones Deportivas de Fútbol en Compañías Anónimas o Sociedades Anónimas, para precautelar los intereses de los socios y los fanáticos, en cuanto al manejo eficiente de los recursos que pertenecen al club deportivo. Material y métodos: Para lograr tal fin, se desarrolló una investigación científica empleando el método inductivo-deductivo, con un tipo de investigación descriptiva de campo y con un alcance cualitativo, logrando contactar con al menos un representante de cada uno de los equipos de primera y segunda categoría, en la liga profesional del Ecuador, que se encuentran registrados en la Federación Ecuatoriana de Fútbol (FEF) y en la Confederación Sudamericana de Fútbol con un total de 41 equipos registrados en primera división y segunda división. A este universo de estudio se le realizó un censo a través de un cuestionario contentivo de ocho preguntas cerradas con una escala de Likert logrando llegar a las conclusiones: Las Asociaciones Deportivas de Fútbol en el Ecuador, también llamados clubes de futbol profesional, son creadas a través de acuerdo ministerial y reguladas directamente por la Secretaría del Deporte, que a su vez dependen de la Presidencia de la República. El carácter no lucrativo de las asociaciones deportivas vigentes, dificultan su control de gestión, además requiere de procesos más transparentes en su rendición de cuentas y administración. La figura jurídica más viable para un club de fútbol es la compañía anónima o sociedad anónima comercial, por lo tanto, podría el Presidente de la República a través de un decreto, ordenar que sean liquidadas todas las asociaciones deportivas sin fines de lucro ante la Secretaría del Deporte y luego, refundadas con la figura jurídica de Compañías Anónimas o Sociedades Anónimas conforme a la Ley de Compañías y ante la Superintendencia de Compañías. |
